Before moving on with the study of the relationship between corporate governance, performance of firm, and economic growth of firm, it is better to have a framework through which the effect of the corporate governance on firm behaviour and economic performance can be understood. The current debate on corporate governance has one issue that is there are various different, which are often conflicting, views on the nature and purpose of the firm.These debates include positive issues, the basic concern of which is the actual working of the institutions and the normative issues, which are concerned with the core purpose of the firm. So, to make it meaningful, it is important if various analytical backgrounds and other approaches should be employed to gain useful insights. Besides these, this framework is used in different ways and the boundaries of it vary in a very wider scale.In the economical debate which is concerned with the effect of corporate governance on the performance of firm, typically 2 different models of the corporation are employed, which are the shareholder model and the stakeholder model. Shareholder model is the narrowest form of corporate governance in which it defines the roles of senior management, board of directors and other managers for the shareholders.
However, the other model i.e. Stakeholder model is wider sense of corporate governance and it is used for the information regarding the various stakeholders such as external and internal stakeholders inside the corporations. (Denis et al., 2003)In the current scenario, it is found that the stakeholder approach is used to emphasize the contributions made by various stakeholders to improve the long term performance of the company and also to maximize value to all the stakeholders. Besides these it is also used in recognizing business ethics and relationships amongst various stakeholders so as to ensure the long term success of the company. So it can be said that there lies a question of emphasis for the difference between the 2 models, which is not as stark as it first appeared to be. The debate on the governance reform also reflects the lack of discussion amongst various stakeholders. This in turn leads to entirely different solutions to the problem.
